1. Seller
These Terms & Conditions are entered into between you ("the Customer") and SD METAL ("we", "us", "SD METAL"), the provider of mineral processing technical training services operated under the brand "SD Metal Engineering". For any question regarding these terms, contact comptepersonel7@gmail.com.
2. Acceptance
By registering for a training, purchasing a seat, or otherwise using our services, you acknowledge that you have read, understood and agree to be bound by these Terms.
3. Services
SD METAL provides on-site and remote technical training on mineral processing (comminution, gravity & flotation concentration, gold hydrometallurgy / CIL & CIP). Training scope, dates, venue and logistics are agreed in writing for each engagement.
4. Payment, Subscriptions and Taxes — Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles returns and refunds. Payment terms, billing frequency, applicable taxes, currency conversion and invoicing are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms.
5. Acceptable Use
You agree not to:
- use the service for any unlawful, fraudulent or abusive purpose;
- infringe intellectual-property rights of SD METAL or any third party;
- send spam, malware, or attempt to interfere with the security or integrity of the service;
- probe, scan, scrape, or reverse-engineer any part of the service.
6. Intellectual Property
All training materials, slides, methodologies, software, documentation and branding remain the exclusive property of SD METAL. You receive a limited, non-exclusive, non-transferable right to use them solely for your internal training purposes. Resale, redistribution or public publication is prohibited without prior written consent.
7. Service Level
We make commercially reasonable efforts to deliver the service as described, but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, all implied warranties are disclaimed.
8. Suspension and Termination
We may suspend or terminate access to the service in case of: material breach of these Terms, non-payment, security or fraud risk, or repeated/serious violation of our acceptable-use policy.
9. Liability
To the extent permitted by law, SD METAL's aggregate liability under these Terms is capped at the fees you paid in the 12 months preceding the event giving rise to the claim. SD METAL is not liable for indirect, incidental, consequential or special damages (including loss of profits, data, or goodwill). Nothing limits liability for fraud, death or personal injury where such limitation is prohibited by law.
10. Refunds
Refunds are handled by Paddle as Merchant of Record. See our Refund Policy.
11. Changes
We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the service after changes constitutes acceptance.
